Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by PropMedia Promo, operated by Hassan Agency LLC ("PropMedia Promo," "we," "us"), a limited liability company registered in the State of New Mexico, USA. By purchasing or using our services, you agree to these Terms.
1. Services
PropMedia Promo provides influencer-marketing services to clients in the financial industry, such as proprietary trading firms and brokers. These services include sourcing and vetting trading-focused content creators, introducing creators to clients, negotiating influencer engagements on the client's behalf, managing influencer campaigns, and reporting on campaign performance. The specific scope, deliverables, and fees for each engagement are described in the written proposal or agreement with the client.
2. Fees and Payment
Engagements are typically structured as a monthly retainer plus a performance-based component, as set out in the client agreement. Payment is due upon receipt of invoice unless otherwise agreed in writing. Fees payable to influencers or creators are separate from our fees and are either paid by the client directly or passed through at cost, as agreed in writing.
3. Term and Cancellation
The term and notice period for each engagement are set out in the client agreement. Unless otherwise agreed, either party may terminate with at least 14 days' written notice. Retainer fees for work already performed, performance fees already earned, and amounts committed to creators for campaigns already agreed remain payable.
4. Client Responsibilities
- Provide timely access to tracking systems, affiliate dashboards, brand assets, and information needed to perform the services.
- Provide accurate information about your products, promotions, payout terms, and the jurisdictions in which you can and cannot accept customers.
- Review and approve campaign briefs, creator selections, and promotional terms within agreed timeframes.
- Ensure that your products, promotions, and marketing claims comply with all laws, regulations, and advertising rules applicable to you, including financial-promotion rules in each jurisdiction where your campaigns run.
- Ensure that materials you provide do not infringe third-party rights.
5. Our Role — Introducer and Campaign Manager Only
PropMedia Promo acts solely as an introducer and campaign manager between client firms and independent content creators. We are not a party to the trading services offered by any client, we do not provide financial, investment, or trading advice, and we are not a broker-dealer, investment adviser, or financial institution in any jurisdiction. Influencers and creators we introduce are independent third parties, not our employees, agents, or representatives.
To the maximum extent permitted by law, we are not responsible for: (a) the trading products, platforms, pricing, payout practices, or business conduct of any client firm; (b) the accuracy of statements or claims made by client firms or by influencers in their content; (c) the regulatory status or compliance of any client firm or influencer in any jurisdiction; or (d) any losses incurred by traders or customers of client firms. Each client remains solely responsible for ensuring that its products, promotions, and influencer campaigns comply with the laws and advertising rules applicable to it.
6. Intellectual Property
Ownership and usage rights for content produced by influencers under a campaign (including any rights for the client to reuse that content) are set out in each campaign agreement. Reports, creator shortlists, vetting materials, and internal methods we produce remain our property; clients may use the reports we deliver for their internal business purposes. We retain the right to reference completed campaigns in our portfolio unless the client requests otherwise in writing.
7. No Guarantee of Results
Marketing outcomes depend on many factors outside our control, including creator performance, platform algorithms, and market conditions. While we work diligently and report transparently, we do not guarantee specific numbers of sign-ups, funded accounts, conversion rates, or cost-per-acquisition figures.
8. Limitation of Liability
To the maximum extent permitted by law, PropMedia Promo's total liability for any claim arising out of the services is limited to the fees paid by the client to us in the one (1) month preceding the claim. We are not liable for indirect, incidental, or consequential damages, nor for the acts or omissions of client firms, influencers, or other third parties, as described in Section 5.
9. Confidentiality
Each party agrees to keep the other party's non-public business information confidential and to use it only for purposes of the engagement. This includes campaign terms, creator rates, and performance data.
10. Governing Law
These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law principles.
